Public Offer Agreement

1. General Provisions

1.1. This document is an official public offer from the online store https://atelier-rebul.com.ua (hereinafter referred to as the “Seller”) to enter into a remote purchase agreement for goods via the Internet (hereinafter the “Agreement”). This Public Offer is available on the Seller’s website.

1.2. Full and unconditional acceptance of this offer by the Buyer is confirmed by payment for the selected goods under the conditions specified on the Website.

 

2. Definitions

Unless the context requires otherwise, the following terms used in this Agreement shall have the meanings assigned below:

  • “Goods” – models, accessories, components, and related items available on the Website.
  • “Online store” – a tool for presenting or selling goods via electronic transactions under the Law of Ukraine “On Electronic Commerce.”
  • “Seller” – the company selling goods via the Website.
  • “Buyer” – an individual who has entered into this Agreement with the Seller.
  • “Order” – the selection of specific items by the Buyer and payment made according to the terms published on the Website.

 

3. Subject of the Agreement

3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under this Agreement.

3.2. The Agreement governs all aspects of the online purchase including:

  • Voluntary selection of products by the Buyer
  • Independent order placement
  • Order payment
  • Fulfillment and delivery under the stated terms

 

4. Order Placement

4.1. The Buyer may order any item available and in stock on the Website.
4.2. Each item can be ordered in any quantity.
4.3. If an item is unavailable, the Seller must notify the Buyer by phone or email.
4.4. The Buyer may opt for a substitute product, cancel specific items, or cancel the entire order.

 

5. Payment Terms (Cash on Delivery)

5.1. Payment is made upon receipt of the goods from the carrier, in cash and in Ukrainian hryvnias.
5.2. If payment is not received, the Seller reserves the right to cancel the order.

 

6. Delivery Terms

6.1. Delivery is made to the carrier’s branch, where the Buyer can collect the goods.
6.2. All accompanying documents are provided in accordance with Ukrainian legislation.

 

7. Rights and Obligations of the Parties

Seller’s Rights:

  • Suspend services unilaterally if the Buyer breaches the Agreement.

Buyer’s Obligations:

  • Pay for and receive goods in a timely manner.

Buyer’s Rights:

  • Place orders via the Website
  • Conclude electronic transactions
  • Require fulfillment of the Agreement from the Seller

 

8. Liability

8.1. Both parties shall be held liable for non-performance or improper performance in accordance with this Agreement and applicable laws.

8.2. The Seller shall not be held liable for:

  • Product design updates made by the manufacturer
  • Slight color discrepancies due to display settings
  • Accuracy of Buyer-provided information
  • Delays caused by circumstances beyond the Seller’s control
  • Unlawful actions by the Buyer through internet access
  • Disclosure of Buyer’s account credentials to third parties

8.3. The Buyer is personally responsible for any harm caused through actions under their account, even if performed by another party using their login.

8.4. In the case of force majeure, both parties are released from obligations. Such events include unforeseen circumstances that prevent performance of obligations beyond reasonable control.

8.5. Both parties agree to resolve disputes through negotiation.

 

9. Other Conditions

9.1. The Seller may amend this Agreement unilaterally. Updates will be published on https://atelier-rebul.com.ua.
9.2. The Website facilitates remote product sales.
9.3. The Buyer is responsible for the accuracy of submitted personal data. By completing and paying for an order, the Buyer consents to the collection and processing of their personal data under Ukrainian law.
9.4. Payment for an order indicates full acceptance of this Agreement.
9.5. The Agreement is considered concluded upon the Buyer’s acceptance, as defined in Article 11 of the Law of Ukraine “On Electronic Commerce.”
9.6. Browsing products and placing orders on the Website is free of charge.
9.7. Buyer data is treated confidentially and used solely for order processing, notification, delivery, and financial settlement.

 

10. Return of Goods of Proper Quality

10.1. Returns are governed by applicable Ukrainian legislation.
10.2. Return shipping costs are the responsibility of the Buyer.
10.3. Upon return of proper-quality goods, the Seller refunds the product value minus shipping costs.

 

11. Term of Agreement

11.1. The Agreement is deemed concluded from the moment the Buyer accepts the offer under Article 11 of the Law “On Electronic Commerce.”
11.2. Prior to delivery, the Agreement may be terminated by mutual consent, with full refund.
11.3. Either party may terminate the Agreement in case of non-performance or legal grounds.

12.1. Annexes are an integral part of the Agreement.
